Mr. Narendra K Patni
Chairman
Mr. Narendra K. Patni, Chairman and one of the founders of Patni Computer Systems Ltd., was erstwhile CEO of the Company. As an entrepreneur, Mr. Patni has played an integral role in the development of the Indian IT industry and has been instrumental in initiating the offshore outsourcing business model for the software industry. Mr. Patni’s professional experience includes senior management and consulting positions with the U.S. Trust Company of New York and Arthur D. Little, Inc. He was also President and Director of the Forrester Consulting Group. In 1972, he founded his first company, Data Conversion Inc. which is now the Company’s U.S. subsidiary, Patni Computer Systems, Inc.
Mr. Patni holds a Bachelor’s degree in Electrical Engineering from IIT, Roorkee, a Master’s degree in Electrical Engineering from the Massachusetts Institute of Technology, and a Master’s degree in Management from the Sloan School of Management at MIT.

Mr. Jeya Kumar
Chief Executive Officer
Mr. Jeya Kumar is Patni’s Chief Executive Officer (CEO) with the responsibility of driving the company’s global operations; and defining and executing the company’s long-term strategy focused on growth, profitability, and customer & operational excellence throughout Patni’s value chain. Mr. Kumar was until recently the CEO of MphasiS Limited and has more than 25 years of global experience spanning several geographies.
Prior to MphasiS, he was Senior Vice-President of Sun Microsystems and a member of Sun's Executive Management Group (EMG). Notably, he was the first Asia-Pacific employee in the company’s history to become a member of Sun’s EMG.
At Sun, as head of a $5 billion-a-year Services business, Mr. Kumar was responsible for the business unit's financial performance, strategy, marketing, portfolio management, in-market management, product engineering, technology development, M&A and channels in more than 120 countries. He has also held various management and executive positions with global firms including Apple Computers Inc. and National Semi-Conductor Corporation. During the course of his extensive career, he has undertaken assignments in Singapore, Japan, Australia, United States, Mexico, Holland and the United Kingdom.
Mr. Kumar has a Masters of Business degree from Curtin University, Australia; Bachelors of Business degree from the Royal Melbourne Institute of Technology, Australia; and postgraduate diplomas in Computer Science, Management Studies and Marketing Management. He has also attended the Advanced Management Programme at Oxford University.

Mr. Gajendra K Patni
Non-Executive Director
Mr. Gajendra K. Patni, Non-Executive Director, is one of the founders of the Company.
He has contributed significantly in the past to the growth of the computer rental business of Patni, which led to the formation of PCS Data Products (PCSDP) in 1981, and PCS Data General (PCSDG) in 1987. These companies were merged, in 1994, to form what is now PCS Technology Limited. Mr. Patni is Chairman of PCS Technology Limited. Previously he was the Managing Director of Industrial Oxygen Company Limited.
Mr. Patni is a Chemical Engineer from IIT, Delhi and has over 35 years of experience in finance, banking, legal and personnel functions.

Mr. Ashok K Patni
Non-Executive Director
Mr. Ashok K. Patni, Non-Executive Director, is one of the founders of the Company.
Mr. Patni has over 22 years of experience in computer hardware and systems software. He has contributed significantly in the past to the growth of the hardware business of our company which led to the formation of PCSDP in 1981, and PCSDG in 1987. These companies were merged, in 1994, to form what is now PCS Technology Limited. He is Vice-Chairman of PCS Technology Limited.
Mr. Patni is a Mechanical Engineer from IIT, Mumbai.

Mr. William O. Grabe
Non-Executive Director
Mr. William O. Grabe has been a Director since September 2002.
Since 1992, Mr. Grabe has been a Managing Director at General Atlantic LLC, a worldwide private equity firm. Prior to that, he was a Vice President of IBM and held various positions, the last of which was head, North America Sales and Marketing. He is a Director of various companies in which General Atlantic has investments, including Ai Metrix, Bottomline Technologies, Digital China Holdings, Lifecare and LHS GmbH, besides being a Director of Compuware Corporation and Gartner, Inc. General Atlantic is one of Patni’s shareholders, with a shareholding of 16.52%.
Mr. Grabe has a BS degree in Engineering from New York University and an MBA from the University of California, Los Angeles.

Mr. Louis Theodoor van den Boog
Non-Executive Director
Mr. Louis (Loek) Theodoor van den Boog has been a Director since March 2005. Mr. van den Boog was Executive Director from April 2008 through February 2009 and was responsible for all operations of the company, after which period he resumed his duties as Non-Executive Director. He brings over 25 years of experience in the software industry. He has held various executive level positions in international software companies, as well as chairman and other board positions in a variety of private and public companies.
During his tenure with Oracle from 1984-1996, Mr. van den Boog played a significant role in the corporation’s sterling growth. In his last position he was Senior V.P. of Oracle Europe, Middle East & Africa (EMEA) with 8000 staff and $1.5 billion in revenues. He recently also held CEO positions at Meta4 as well as at Cordys B.V., a leading provider of SOA and BPM technology.
He also lectured at the Free University of Amsterdam for three years. Additionally, he is the Founder and Chairman of Net4kids Aid Foundation.
Mr. van den Boog holds a university degree in Business Economics (graduated with honours) and in Public Accounting (graduated cum laude).

Mr. Arun Duggal
Independent Director
Mr. Arun Duggal has been a Director since November 2003.
Mr. Duggal has had a 26-year career with Bank of America, mostly in the U.S., Hong Kong and Japan. His last assignment with the Bank was as Chief Executive Officer in India from 1998 to 2001. From 2001 to 2003, he was Chief Financial Officer of HCL Technologies, India.
He is Chairman of the Board of Directors of Shriram Transport Finance Company, Shriram Properties Ltd, Shriram City Union Finance Ltd., and Shriram EPC Limited. He is also Vice-Chairman of International Asset Reconstruction Company.
He is on the Board of Directors of Jubilant Energy NV, Patni Computers (Chairman, Audit Committee), Fidelity Fund Management, LNG Petronet (Nominee Director of Asian Development Bank), Zuari Industries, Info Edge (India), Dish TV India Ltd., Mundra Port & SEZ Ltd. and Hertz (India). Mr. Duggal is the founder Director of Bellwether Microfinance Fund. He is Advisor to IMA (formerly Economist Intelligence Unit, India), He is a member of the Investment Committee of Axis Private Equity. He is a Trustee of ‘Centre for Civil Society’, New Delhi and Senior Advisor (Asia Pacific) to Transparency International, Berlin.
Mr. Duggal has a Bachelor’s degree in Mechanical Engineering from IIT, Delhi, and a Postgraduate diploma in Management from IIM, Ahmedabad.

Mr. Pradip Shah
Independent Director
Mr. Pradip Shah has been a Director since November 2003.
Mr. Shah was responsible for introducing credit ratings in India and is a founder of CRISIL Limited. He is currently the Chairman of the Board at IndAsia Fund Advisors Private Limited.
Mr. Shah is a Chartered Accountant, has an MBA from the Harvard Business School, and a degree from The Institute of Cost and Works Accountants of India.

Mr. Ramesh Venkateswaran

Mr. Ramesh Venkateswaran has been a Director since November 2003.
Mr. Venkateswaran is a Management Consultant and is currently the Managing Director of Almak Management Services Private Limited. He is a visiting professor of Marketing at the Indian Institute of Management, Bangalore. He is also a founder member of a non profit organization, "Vishwas".

Dr. Michael A. Cusumano
Independent Director
Dr. Michael A. Cusumano has been a Director since April 2004. Dr. Cusumano is the Sloan Management Review Distinguished Professor of Management and Engineering Systems at the Massachusetts Institute of Technology's Sloan School of Management, with a joint appointment in MIT’s School of Engineering. He is also a director of Eliza Corporation (www.elizacorp.com). He serves on the advisory boards of FixStars Corp. (www.fixstars.com) and H-5 Technologies (www.h5technologies.com). He has consulted for more than 50 major companies around the world and advises several other startup software companies. He is the author/co-author of 8 books, including The Software Business (2004), Platform Leadership (2002), Competing on Internet Time (1998), Microsoft Secrets (1995), and Japan's Software Factories (1991).
Dr. Cusumano has a B.A. degree from Princeton University and a PhD from Harvard University. He also completed a post-doctoral fellowship in Production and Operations Management at the Harvard Business School. He has twice been a Fulbright Fellow as well as a Japan Foundation Fellow at the University of Tokyo, and is a recent recipient of the Clarendon Lectures in Management award at Oxford University.

Mr. Pradip Baijal
Independent Director
Mr. Pradip Baijal has been a Director since June 2009. Mr. Baijal is a retired IAS Officer of the 1966 batch. In a distinguished career spanning four decades, he has held a diverse set of portfolios in both the Central and State Governments. He was the Chairman of the Telecom Regulatory Authority of India (TRAI) from 2003 to 2006. His previous assignments include: Secretary of the Ministry of Disinvestment, senior positions in the Ministry of Power, Steel and Agriculture (Fertilizer); and in the Madhya Pradesh State Government, Principal Secretary, Industries and Chairman of nine industrial corporations including OPTEL, the first optic fibre plant in India and Secretary, Finance and Commercial Taxes.
Mr. Baijal is a Whole-time Director in NOESIS Strategic Consulting Services (Pvt.) Ltd., an Independent Director in Nestle India Limited and GVK Power and Infrastructure Limited. He also serves as the Chairman on the Audit Committee of Nestle India Limited. He has on trained telecom regulators of many countries and has advised on restructuring telecom & IT sectors in many countries for World Bank and International Telecommunication Union.
Mr. Baijal is a Mechanical Engineer from IIT, Roorkee, and was a visiting fellow at Queen Elizabeth House, Oxford University during 1987-88 on privatization and reforms. He is a prolific writer and commentator on subjects – economic reforms, steels & mines, telecom and privatization. His book ‘Disinvestment In India – I Lose & You Gain’ has been widely acclaimed. His papers and articles have been published in several noted journals and newspapers.

Mr. Vimal Bhandari
Independent Director
Mr. Vimal Bhandari has been a Director since January 2010. Mr. Bhandari is a proficient and proven top management professional with 25 years of experience in a range of businesses in the financial services industry. He is currently the Country Head of AEGON N.V., the large Dutch financial services player.
Prior to joining AEGON in mid-2004, Mr. Bhandari spent 17 years with IL&FS Ltd. of which 12 years were spent as the Executive Director on the Board of Directors of the company, being directly responsible for its financial services business. Additionally, he functioned as Non-Executive Director on IL&FS Group entities in the businesses of stock broking, private equity, infrastructure project development, and healthcare management services and as Director-In-Charge for the asset management and merchant banking subsidiaries.
Mr. Bhandari is also a member of the Listing Committee and the Executive Committee of the NSE; a member of The National Council on Corporate Governance of CII and a member of the Executive Committee of FICCI. He has, in the past, also served as a member of the F&O Committee of NSE, a member of the SEBI committee on policy initiatives for venture capital business, and a member of the accounting and disclosures committee.
Mr. Bhandari is a Chartered Accountant and has studied at the Bombay University. He has also attended advanced management programs at the International Institute of Management, Lausanne, Switzerland as a part of his continuing professional education.

Mr. Abhay Havaldar
Alternate Director to Mr. William O Grabe
Abhay Havaldar is Alternate Director to William Grabe.
He is Managing Director at General Atlantic Partners, LLC, a worldwide private equity firm, where he has been working since 2002. He currently serves as a Director on the board of Jubilant Organosys Ltd. and IBS Software Services (P) Ltd. Prior to joining General Atlantic Partners in 2002, Mr. Havaldar was the Co-Founder of Connect Capital; he was also a partner at Draper International. Earlier, he spent twelve years in both the hardware and software industries in the U.S., Europe and Asia. He also held various technical and marketing positions at Tata Unisys, besides, serving from 1994 to 1995 as Country Manager, Financial Services, for HCL-Hewlett Packard.
Mr. Havaldar holds a Bachelor’s degree in Electrical Engineering from the University of Bombay and a Master’s in Management degree from the Sloan Fellow program at the London Business School.
